Terms of Service

OpsFrame IQ is a financial decision-support tool for businesses. It turns your financial data into cash forecasts, early risk signals and recommended actions.

Figures, forecasts, signals and explanations are for information only. They are not financial, tax, accounting, legal or investment advice. OpsFrame is not an accounting firm, tax advisor, law firm, investment adviser, bank, financial institution or payroll processor.

Forecasts are estimates, not guarantees. Results depend on the completeness and timeliness of the data you enter or connect, and missing or outdated data can change them. You remain responsible for your business decisions.

OpsFrame's financial engine performs every calculation. AI is used only to explain results that have already been calculated. It does not produce or replace those figures. AI-generated explanations may contain errors, so review them in the context of your business before relying on them.

You must be authorized to act for your business, or be of legal age to contract on your own behalf. You must provide accurate information, keep your sign-in details confidential, and are responsible for all activity under your account. Each business controls its own data and manages its members' roles.

New accounts can try OpsFrame IQ free for 30 days. You don't need a payment card to start, and you won't be charged during the free trial. We only ask for payment details if you choose to subscribe. Each account owner can have one free trial. When the trial ends, access pauses until you subscribe.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to orders and handles returns, including payment, invoicing, tax and refund processing. These are governed by Paddle's Buyer Terms. Paid subscriptions renew automatically each billing period, at the price shown at checkout, until you cancel. You can cancel at any time, and cancellation takes effect at the end of the current paid period. See our Cancellation & Refund Policy.

You own the financial data you enter or import. You grant us a limited right to host, process and back up that data only to provide the Service. You are responsible for having the right to share any data you connect or upload, and for the accuracy of data you enter manually. Our Privacy Policy explains how we handle personal data.

Connecting QuickBooks Online is optional, and you can always enter data manually instead. When you connect it, you authorize OpsFrame to retrieve the accounting data needed to provide the Service. You can disconnect at any time. Your use of a third-party service is governed by that service's own terms. We are not responsible for third-party services, their availability or the accuracy of their data.

OpsFrame IQ is a separate product. Intuit and QuickBooks are registered trademarks of Intuit Inc. OpsFrame IQ is not endorsed or sponsored by Intuit Inc.

OPSFRAME LLC owns the Service and all related rights, including software, documentation, designs, branding, trade names and logos. We grant you a limited, non-exclusive, non-transferable right to use the Service within your plan and these Terms.

You agree not to:

• Use the Service for any unlawful purpose, fraud or spam;
• Infringe any intellectual-property or other proprietary right;
• Try to access another business's data, or interfere with the Service or its security;
• Reverse engineer, decompile or scrape the Service, except as the law allows;
• Get around usage limits or other technical restrictions;
• Resell, redistribute or sublicense the Service without our written consent; or
• Introduce malware, probes or other harmful code.

You can stop using the Service and cancel your subscription at any time. We may suspend or end your access for material breach, non-payment, security or fraud risk, or repeated or serious violations of these Terms. Cancelling does not immediately delete your financial data. Our Privacy Policy explains how data is kept and deleted.

The Service is provided "as is" and "as available". We do not guarantee that it will run without interruption or errors. To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

You agree to indemnify OPSFRAME LLC against claims, damages and costs arising from your data, your unlawful use of the Service, or your breach of these Terms.

To the fullest extent the law allows, OPSFRAME LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim. Nothing in these Terms limits liability for fraud, or for death or personal injury caused by negligence, where the law does not allow such limits.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Service will be brought in the state or federal courts located in Delaware.

We may update these Terms. We will post the new version on this page and update the date above. If we make a meaningful change, we will tell you before it takes effect. If you keep using the Service after changes take effect, you accept the updated Terms.
