Terms of Service

1. Who you are contracting with
These Terms govern your use of OpsFrame IQ (the "Service"), provided by OpsFrame ("OpsFrame", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you confirm you have authority to bind that organization.
2. The Service
OpsFrame IQ is a weekly cash check-in, insights, and forecasting tool for hospitality and small business operators. We may add, change, or remove features from time to time. We do not guarantee that the Service will be uninterrupted, error-free, or that any specific result (financial or otherwise) will be achieved. OpsFrame IQ is not financial, tax, legal, or investment advice — decisions you make using the Service are your own responsibility.
3. Your account
You must provide accurate information and keep your account credentials confidential. You are responsible for activity that occurs under your account.
4. Acceptable use
You agree not to:
- use the Service for unlawful, fraudulent, or abusive purposes;
- infringe anyone's intellectual property or privacy rights;
- upload malware, attempt to probe, scan, or circumvent security controls, or scrape the Service;
- resell, sublicense, or redistribute the Service or attempt to reverse engineer it.
5. Intellectual property
OpsFrame retains all rights, title, and interest in and to the Service, including software, content, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms and your subscription. You retain ownership of the data you submit; you grant us a limited license to host and process it solely to provide the Service.
6. Payments, billing and Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, currency, renewal, cancellation, and refund mechanics are governed by the Paddle Checkout Buyer Terms and Paddle's Refund Policy, in addition to our own Refund Policy.
Subscriptions renew automatically at the end of each billing period unless you cancel. You can cancel at any time through your account or by contacting us.
7. Suspension and termination
We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends; we may delete your data after a reasonable export window.
8. Disclaimers and liability
To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Our aggregate liability for any claim arising out of or related to the Service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (such as for fraud, death, or personal injury caused by negligence).
9. Indemnity
You will indemnify OpsFrame against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.
10. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will give reasonable notice (for example, by email or in-app). Continued use of the Service after changes take effect constitutes acceptance.
11. Governing law
These Terms are governed by the laws of the jurisdiction in which OpsFrame is established, without regard to its conflict of law rules. Disputes will be resolved in the competent courts of that jurisdiction.
